FastFrac Terms of Service

These Terms of Service ("Terms") are a contract between you and Aegis Solutions Group, LLC, a Texas limited liability company, doing business as FastFrac ("FastFrac", "we", "us"), for your use of the FastFrac web application at fastfrac.net (the "Service"). You accept these Terms by ticking the box marked "I have read and agree to the FastFrac Terms of Service, Privacy Policy and Refund Policy" when you create your account. We record the date, time and version of the Terms you accepted. If you do not agree, do not tick the box and do not use the Service.

1. What the Service is

FastFrac is a web-based hydraulic fracture treatment design calculator. You enter well, reservoir, rock, fluid, proppant and pumping schedule data; the Service computes a treatment design and presents it on screen and as a printable report.

2. Engineering disclaimer

The Service is a calculation aid. It is not engineering advice and it does not replace the judgment of a qualified engineer.

• Results are computed from the inputs you provide, using the published models and simplifying assumptions listed on the Service's Basis page. Those models have known limits, which are stated there.
• Results are indicative. Actual fracture geometry, treating pressures and proppant placement in a well depend on conditions the Service does not and cannot model.
• You are solely responsible for reviewing, verifying and applying any result, for the design and execution of any treatment, and for compliance with every applicable law, regulation, permit and industry standard.
• No output of the Service is a certification, stamp or seal by a licensed professional engineer.

3. Accounts

• You must provide a valid email address, phone number, user ID and password, and keep them current. A company name is optional.
• One account is for one person. An organisation may share a single login, but the Service permits only one active session per account: signing in on a new device signs out any other.
• You are responsible for everything done under your account and for keeping your password confidential. Tell us at once at inquiries@fastfrac.net if you believe your account has been compromised.
• You must be at least 18 years old.

4. Free trial

• New customers may take one free trial of seven (7) days. A valid payment card is required to start it, and you must tick the box confirming your agreement to the non-commercial, evaluation-only condition below. We record the date and time of that agreement.
• The trial is for non-commercial use only, for evaluation of the Service only. By starting a trial you agree that you will not use any result, report or output produced during the trial to further any commercial or work-related activity, including designing, planning, bidding, pricing, recommending, approving or executing any actual treatment, or advising anyone else about one. Any commercial or work-related use of the Service requires a paid subscription from its first day.
• You may end the trial early at any time from your account page and start your paid plan immediately.
• Unless you cancel before the trial ends, your subscription begins automatically at the end of the trial and your card is charged for the plan you selected.
• One trial per person and per payment card. We may refuse or end a trial we believe is abusive.

5. Subscriptions, billing and cancellation

• The Service is sold by subscription: US $29.99 per month or US $299.99 per year, plus applicable sales tax. Prices are in US dollars.
• Subscriptions renew automatically at the end of each billing period, at the then-current price, until you cancel. By subscribing you authorise us and our payment processor, Stripe, to charge your payment method on each renewal.
• You may cancel at any time from the "Manage or cancel subscription" link on your account page. Cancellation takes effect at the end of the current billing period; you keep access until then. No refund is made for the remainder of the period, except as stated in our Refund Policy.
• Switching from monthly to yearly takes effect immediately, with a credit for the unused part of the month. Switching from yearly to monthly takes effect at the end of the yearly period.
• If a renewal payment fails, access to the Service is suspended immediately until payment succeeds. Stripe will retry the card; you can update it from your account page.
• We may change prices with at least 30 days' notice by email. A change applies from your next renewal after the notice period.

6. Acceptable use

You agree not to:

• copy, decompile, reverse engineer, scrape, or otherwise attempt to extract the Service's calculation engine, source code or underlying models;
• resell, sublicense, or provide the Service to third parties, or operate it as a service bureau;
• access the Service by any automated means, or attempt to bypass any access control or usage limit;
• use the Service in breach of any law or to design a treatment you are not authorised to perform.

7. Your data

• Design inputs you submit are processed to compute your results and are not retained on our servers. Designs you save are stored as files on your own computer, and any in-progress draft is held in your own browser.
• We hold the account information described in our Privacy Policy, which forms part of these Terms.

8. Intellectual property

The Service, including its software, calculation engine, text, figures and the FastFrac name and logo, is owned by us and protected by copyright and other laws. You receive a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes during your subscription. Reports and results you generate from your own inputs are yours to use.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY RESULT WILL BE ACCURATE, COMPLETE OR SUITABLE FOR ANY PARTICULAR WELL OR TREATMENT.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

• WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, PRODUCTION, DATA OR BUSINESS, ARISING FROM OR RELATED TO THE SERVICE OR ANY RESULT IT PRODUCES, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY.
• WITHOUT LIMITING THE ABOVE, WE ARE NOT LIABLE FOR ANY DAMAGE TO A WELL, FORMATION, EQUIPMENT OR PROPERTY, ANY PERSONAL INJURY, ANY FAILED OR UNDER-PERFORMING TREATMENT, OR ANY REGULATORY PENALTY, RESULTING FROM RELIANCE ON THE SERVICE.
• OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations; in those, our liability is limited to the greatest extent the law permits.

11. Indemnity

You will defend, indemnify and hold us harmless from any claim, loss or expense (including reasonable legal fees) arising from your use of the Service, any treatment designed or performed with its assistance, or your breach of these Terms.

12. Suspension and termination

We may suspend or terminate your account if you breach these Terms, if payment fails, or if required by law. You may close your account at any time by cancelling your subscription and emailing inquiries@fastfrac.net. Sections 2, 7 through 11 and 14 survive termination.

13. Changes to the Service or these Terms

We may modify the Service, including its models, from time to time; the engine version is printed on every report. We may update these Terms by posting a new version with a new effective date and emailing account holders. For a material change we will ask you to tick a box accepting the new version the next time you sign in; if you do not accept, you may cancel and your existing subscription runs out under the version you accepted.

14. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute will be brought exclusively in the state or federal courts located in Montgomery County, Texas, and you consent to their jurisdiction.

15. General

These Terms, the Privacy Policy and the Refund Policy are the entire agreement between you and us about the Service. If any provision is unenforceable, the rest remains in effect. You may not assign these Terms; we may assign them to a successor. Our failure to enforce a provision is not a waiver.
